📋Merchant Terms and Conditions

1. Introduction
These Merchant Terms & Conditions (“Terms”) govern your access to and use of Holdstation Pay services (“Services”) as a merchant, partner, or Merchant user (“User”, “you”).
By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
2. Eligibility
You represent and warrant that:
You have full legal capacity to enter into this agreement
You are using the Services for legitimate business purposes
Your use complies with all applicable laws and regulations
Holdstation reserves the right to refuse or restrict access at its sole discretion.
3. Regulatory Compliance
You agree to comply with all applicable laws and regulations in your jurisdiction, including but not limited to those relating to payments, digital assets, anti-money laundering (AML), and counter-terrorist financing (CFT).
For users operating in Vietnam, you acknowledge that:
Certain digital asset and payment-related activities may not be fully regulated or may be subject to restrictions under Vietnamese law
You are solely responsible for ensuring that your use of the Services complies with all applicable local laws and regulatory requirements
Holdstation does not provide legal or regulatory advice and makes no representation that the Services are compliant with laws in all jurisdictions.
4. Nature of Service
Holdstation acts solely as a technology service provider offering infrastructure and tools to facilitate interactions between users and partners.
Holdstation:
Does not act as a payment service provider, financial institution, or intermediary
Does not take custody of user funds
Does not hold, store, or transfer fiat or digital assets on behalf of users
Is not a party to any transaction between users and partners
All transactions are conducted directly between the relevant parties. Holdstation is not responsible for the execution, settlement, or outcome of such transactions.
5. Acceptable Use
You agree not to:
Engage in illegal, fraudulent, or deceptive activities
Use multiple wallets, accounts, or identities to exploit incentives or bypass system limits
Attempt to interfere with or gain unauthorized access to the system
Use the Services for money laundering, terrorist financing, or other prohibited activities
Holdstation reserves the right to monitor, investigate, and take appropriate action against any suspicious activities.
6. KYC, AML & Compliance
To ensure security and compliance:
Holdstation may request identity verification (KYC) at any time
You agree to provide accurate, complete, and up-to-date information
Additional documentation may be required when necessary
Failure to comply may result in:
Suspension of transactions
Restricted account access
Permanent termination of Services
Holdstation may report suspicious activities to relevant authorities where required by law.
7. Fees & Pricing
Transaction fees may be determined based on the total transaction value within a given period.
Applicable fees, markups, or pricing structures will be communicated where relevant.
You are responsible for reviewing and accepting all applicable fees prior to using the Services.
8. Partner Responsibility
Partners are solely responsible for their own users, including but not limited to:
User onboarding and identity verification (KYC), where applicable
Customer support and dispute resolution
Compliance with applicable laws and regulations
Ensuring that their users do not engage in prohibited activities
Holdstation shall not be liable for any acts, omissions, or disputes arising between partners and their users.
9. Transaction Risks
You acknowledge and accept that:
Blockchain transactions are irreversible once confirmed
Digital asset prices are volatile
Network delays or failures may occur
Holdstation shall not be liable for:
Incorrect wallet addresses provided by users
Losses resulting from user error or negligence
Failures of third-party services or blockchain networks
10. Suspension & Termination
Holdstation may suspend, restrict, or terminate access without prior notice if:
Suspicious or high-risk activity is detected
You fail to provide requested information
You violate these Terms
Holdstation retains full discretion in determining appropriate actions.
11. Limitation of Liability
To the maximum extent permitted by law:
Holdstation shall not be liable for:
Any indirect, incidental, special, or consequential damages
Loss of profits, revenue, data, or business opportunities
Any losses resulting from third-party services or blockchain networks
Total liability, if any, shall not exceed the fees paid for the transaction giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless Holdstation, its affiliates, and personnel from any claims, damages, liabilities, and expenses arising from:
Your use of the Services
Your violation of these Terms
Your breach of applicable laws or regulations
13. No Warranty
The Services are provided on an “as is” and “as available” basis.
Holdstation makes no warranties, express or implied, including:
Merchantability
Fitness for a particular purpose
Non-infringement
We do not guarantee uninterrupted or error-free operation.
14. Force Majeure
Holdstation shall not be liable for any delay or failure resulting from events beyond its reasonable control, including but not limited to:
Natural disasters
War or cyber attacks
Infrastructure or network failures
15. Amendments
Holdstation reserves the right to modify these Terms at any time.
Updated versions will be published on the platform. Continued use of the Services constitutes acceptance of the revised Terms.
